Degalo Digital FZ-LLC, trading as Degalo Digital. Business number: 0000004096888.
Registered business address: Unit CWEP1134, Compass Building, Al Shohada Road, Al Hamra Industrial Zone-FZ, Ras Al Khaimah, United Arab Emirates. Email: [email protected].
1. Scope and agreement
These terms cover business services supplied by Degalo Digital FZ-LLC, including websites, creative production, advertising, lead generation, AI implementation and automation. A proposal or order must identify the services, fees, payment dates, duration, any renewal or cancellation conditions, deliverables and any specific guarantee. A contract is formed when the parties accept the relevant order or another agreed acceptance process.
Specific written terms agreed for an order take priority over conflicting general terms. Mandatory law takes priority over both. These terms do not alter an existing signed agreement simply because they appear on our website. We do not treat visiting a page, silence or acceptance of a privacy policy as consent to paid services or marketing.
2. Scope, deadlines and revisions
We perform agreed services with reasonable care and skill. The order should state formats, quantities, revision rounds, approval stages and target dates. New concepts, additional versions, changed instructions and changes after approval may require a written scope and price adjustment before work proceeds.
Dates depend on timely access, usable materials, approvals and platform availability. We explain material delays and revised dates. Internal creative priorities and completion records support scheduling; they are not a guarantee of advertising approval or a promise that the client has accepted the work. A client-requested redo of the same video remains a revision of that video unless a genuinely new deliverable is separately agreed.
3. Client materials, claims and approvals
The client must have authority to instruct us and supply accurate information, lawful claims and necessary permissions for logos, footage, music, voices, likenesses, testimonials and customer information. The client must identify regulated products, sensitive audiences and restrictions relevant to the campaign. We may request supporting evidence and decline misleading, infringing or unlawful content.
Final factual claims, pricing, offers and brand use must be approved through the agreed process. Approval does not excuse either party from its own legal responsibilities. Neither party may invent customer reviews, misrepresent AI-generated people as genuine customers, conceal material endorsements, or present fabricated results as actual outcomes. Required sponsorship, AI or synthetic-media disclosures must be clear in the relevant context.
4. Advertising accounts, spend and results
The order must distinguish our fees from media spend, software subscriptions, licences, taxes and other third-party charges. We obtain approval for a budget or material increase before spending it. Platform invoices and currency conversion can affect final third-party costs. Unless agreed otherwise, the client owns its advertising accounts and grants us delegated access appropriate to the work.
Platforms control review, delivery, algorithms, auctions and account enforcement. Results depend on the offer, market, competition, budget, tracking, sales follow-up and other factors. Estimates are explained as estimates. Except for an express guarantee or commitment made in the accepted offer or advertising, we do not promise a particular lead volume, revenue, ranking or return.
Express guarantees remain enforceable on their lawful terms. An advertised money-back guarantee, including a “90 leads in 100 days” offer where applicable, is not removed by this section. Its clear eligibility, measurement and refund terms must be available before purchase and must not be made more restrictive retrospectively. Statutory remedies remain available.
5. Fees, renewals and cancellation
The accepted order sets the payment schedule and any deposit. We do not add undisclosed cancellation penalties, automatic renewals or recurring charges. A subscription or renewal requires clear agreement to its price, period and cancellation method. We notify clients of material changes as required by the agreement and applicable law.
Refunds follow the agreed lawful terms, express guarantees and non-excludable rights. On early termination, charges for work completed and unavoidable third-party commitments must be proportionate, documented and consistent with the agreement. We return unearned amounts where required. A disputed invoice does not justify taking over the client's unrelated accounts or destroying its data.
6. Outreach, lead generation and consent
Campaigns must comply with applicable privacy, advertising, electronic-marketing, do-not-call and platform rules. A client supplying a list must provide its source and reliable evidence of the permissions or legal exception relied on for the exact sender, channel and use. A warranty from a list seller, public business listing or generic “partner marketing” statement is not by itself sufficient proof.
We can reject or pause a campaign where permissions, claims, recipient status or country rules are unclear. We do not send a marketing text merely to ask for the consent needed to send that text. For our own legally permitted unsolicited business SMS, the one-initial-message limit in our Privacy Policy applies. This is not a blanket exemption for bulk messaging.
Suppression requests must be passed promptly to everyone sending on the relevant business's behalf. Clients and Degalo each remain responsible for obligations imposed on them by law. A contract or client approval cannot transfer away a regulator's enforcement powers or an individual's statutory rights.
7. Personal information and confidentiality
Each party protects confidential information received for the project and uses it only for the agreed work, permitted professional advice or a legal requirement. Appropriate personnel and contractors may receive it on a need-to-know basis with suitable obligations. Confidentiality does not prevent a protected disclosure to a regulator, court or adviser.
Before processing personal information for a client, the parties must agree the required data-processing terms, roles, instructions, security, sub-processors, transfers, assistance, incident handling and deletion or return. The client must give people an accurate privacy notice. We must not use client campaign records for our own unrelated marketing or general AI training without a separate lawful basis and authorisation.
8. Creative ownership and licences
The order should identify ownership and permitted uses of final deliverables, source files, accounts and working files. Where the order provides for transfer of bespoke final work, the transfer occurs on the agreed payment and delivery terms. We retain pre-existing tools, templates and general know-how, while granting the licence necessary to use the agreed deliverable.
Third-party fonts, stock media, music, plugins and software remain subject to their licences. AI-assisted output may not have exclusive copyright protection or be unique; any promised rights must match rights actually available. Public portfolio use of identifiable client material requires specific contractual permission or separate authorisation. The client retains rights in its supplied materials.
9. Access, third-party services and acceptable use
Use individual or delegated access where available and share only necessary permissions. Do not put passwords, card data or unrelated sensitive records in pack messages. Google, Make, HighLevel, Telegram, WhatsApp and advertising platforms have their own terms and technical limits; using them does not guarantee continuous availability.
We may suspend affected work where reasonably necessary to address a security incident, unlawful instruction or material breach. Where practicable, we explain the reason and give a reasonable chance to fix it. Suspension must be proportionate and must preserve lawful access to client-owned assets.
10. Liability and non-excludable rights
Nothing excludes or limits liability where doing so is unlawful, including fraud, fraudulent misrepresentation, death or personal injury caused by negligence where applicable, or non-excludable consumer, privacy or other statutory rights. We remain responsible for the reasonable care and skill promised in the agreement.
For a client contracting wholly for business purposes, and only to the extent lawful and fair, each party's aggregate contractual liability arising from a particular order is limited to the service fees paid or payable under that order in the twelve months before the event giving rise to the claim. Media spend paid directly to platforms is not a service fee. This cap does not reduce an express refund obligation, unpaid agreed fees, or liability that cannot legally be limited. A specifically negotiated written liability arrangement takes priority.
For those business contracts, neither party is liable for indirect or consequential loss to the extent exclusion is lawful. This does not reclassify foreseeable direct loss or remove a remedy that cannot be excluded. Each party takes reasonable steps to reduce avoidable loss. We do not require consumers to waive statutory remedies or indemnify us for our own unlawful conduct.
11. Ending work and handing over
The order should state notice periods and any minimum term. Either party may end for a material breach that is not remedied within a reasonable period after written notice, unless immediate termination is legally justified. Delays beyond a party's reasonable control require prompt notice and reasonable mitigation; they do not automatically justify retaining payment for services never delivered.
On termination we agree a practical handover of paid-for deliverables, client-owned accounts and relevant data, subject to lawful retention and the agreed licences. We revoke unnecessary access and coordinate data return or deletion. Outstanding disputes should not prevent the return of property the client legally owns.
12. Complaints, law and changes
Raise a service concern at [email protected] with the order details and requested remedy. We investigate and seek a fair resolution. Privacy complaints follow the route in our Privacy Policy. Complaining does not remove any right to a regulator, court or available statutory dispute mechanism.
Unless a specific order validly agrees another law, these terms are governed by the laws applicable in Ras Al Khaimah and the federal laws of the United Arab Emirates. For business disputes, the competent courts of Ras Al Khaimah have jurisdiction, subject to mandatory law and any valid written agreement. Consumers retain any mandatory protection and court rights available in their place of residence. These terms do not require consumers to give up local statutory protections.
Updates apply to new orders or to existing work only through the agreed lawful variation process. We do not change an accepted guarantee, fee or liability arrangement retrospectively by editing this page. If a term is unenforceable, the remaining terms continue so far as legally possible.
Messaging Terms — SMS, Email and WhatsApp
1. Different types of messages
Requested service messages can include appointment, account, project and support updates. Marketing messages promote Degalo Digital's services, offers or events. A service enquiry or purchase does not automatically enrol someone into marketing. SMS, email, WhatsApp and marketing calls need the permission or lawful exception applicable to that channel and location.
2. Optional marketing subscriptions
Where you separately opt in, the programme may send recurring marketing about Degalo Digital's websites, advertising, creative and automation services through the channel you selected. Message frequency varies with the programme and your requests. Your provider's message and data rates may apply. Consent is not a condition of purchase, and you can use email or another available service route without opting into marketing.
Permission for Degalo Digital FZ-LLC is not permission for unnamed businesses to market to you. Client campaigns must identify the actual client or seller and use that sender's consent wording and notice. We do not use a Degalo checkbox to enrol someone into every client's campaign.
3. Stop messages or ask for help
For a reply-capable marketing SMS, reply STOP or otherwise clearly ask us to stop. For email, use its unsubscribe facility or reply with your request. For WhatsApp, reply with your request to stop. You can also email [email protected] for help or to stop all marketing channels. Where a sender ID cannot receive replies, the message must provide another simple, functioning unsubscribe method.
We act promptly within the applicable legal limit and apply your request to the relevant programme and sending systems. An opt-out does not require a login, extra payment or a reason. We may send one lawful non-promotional confirmation of your choice. We do not treat STOP as a pause that automatically expires or restart marketing because your number appears on another purchased list.
Only essential communications necessary for an existing service may continue where legally permitted, through an appropriate channel. We do not add promotions to those messages to bypass your choice. Tell us if you need to change the channel used for service updates.
4. Limited business outreach
Where local law permits a particular unsolicited business SMS, Degalo's policy is no more than one initial promotional SMS to that business across our lists and sending numbers unless it then requests a conversation or separately opts in. Consent is obtained first wherever required. Bulk sending, relevance to a business and an unsubscribe option do not create a legal exception. No further marketing is sent after an objection.
5. Privacy and subscriber information
We use contact details and consent, delivery and opt-out records to administer messages and demonstrate choices. Mobile subscriber information and SMS opt-in records are not sold or shared with third parties or affiliates for their own marketing; restricted messaging providers may process them to run the programme. Read our Privacy Policy for details about recipients, retention, international processing and rights.
6. Delivery and number changes
Delivery depends on networks, devices and platform availability. Do not rely on marketing messaging for emergencies. Tell us if your number changes or no longer belongs to you. We must stop or re-verify affected subscriptions when we learn a number is wrong or reassigned. These terms do not limit rights that cannot lawfully be excluded.
